Terms of Service

Effective date: 06 Nov 2025

1. Acceptance & Changes

By creating an account, submitting an order, or using our website at scribie.com, you agree to these Terms. We may update these Terms from time to time; the “Effective date” below shows the latest version. If a change is material, we’ll notify you in advance via the Service or email.

2. Service Overview

Scribie provides transcription and related services (“Services”). You upload audio/video or other content (“Customer Content”); we return text output and other deliverables (“Service Output”).

3. Roles & Data Protection

  • Website/marketing: Scribie is the controller of personal data collected via our website and marketing. See our Privacy Notice.
  • Customer Content: For personal data within Customer Content, Scribie acts as your processor. Our Data Processing Addendum (DPA) governs this processing and is incorporated by reference. A current Sub‑processor List is maintained online.

4. Accounts & Eligibility

You must be at least 18, or the age of majority in your jurisdiction, to use the Services. Keep your credentials confidential and notify us of unauthorized use. You’re responsible for your account’s activity.

5. Customer Content & License

  • Ownership. You retain all rights in Customer Content and Service Output.
  • License to operate the Service. You grant Scribie a limited, non‑exclusive, worldwide license solely to host, process, transmit, and reproduce Customer Content and Service Output to provide the Services, maintain security, troubleshoot, and comply with law.
  • No training/derivatives by default. We will not use Customer Content or Service Output to train models or create derivative works for product improvement or third‑party use unless you explicitly opt in (e.g., by enabling a setting or signing an addendum).
  • Your responsibilities. You’re responsible for obtaining rights and consents necessary to upload Customer Content, including for any personal data of third parties.

6. Prohibited Use

You will not: (a) violate law or others’ rights; (b) upload malicious code; (c) attempt to bypass security; (d) interfere with Service operation; (e) use the Service to create unlawful, discriminatory, or harmful content.

7. Service Levels; Maintenance

We aim for high availability but do not guarantee the Service is error‑free or uninterrupted. We may perform maintenance and will attempt to minimize downtime.

8. Fees & Taxes

Fees are as shown at order or in your plan. You authorize us (or our payment processor) to charge your payment method. Fees exclude taxes; you’re responsible for applicable taxes.

9. Confidentiality

Each party will protect the other’s Confidential Information using reasonable measures and will use it only to perform under these Terms. “Confidential Information” includes Customer Content and non‑public business information.

10. Security

We implement technical and organizational measures appropriate to the risk. See our Security/Trust Center. You are responsible for securing your systems and access to the Service.

11. Intellectual Property; Feedback

Except for Customer Content and Service Output, Scribie and its licensors own all rights in the Service. If you provide feedback, we may use it without restriction and without obligation to you.

12. Third‑Party Services

Third‑party services (e.g., cloud storage, analytics, payment processors) are governed by their own terms. We’re not responsible for third‑party services we do not control.

13. Term & Termination

These Terms remain in effect until terminated. You may stop using the Service at any time. We may suspend or terminate access for material breach, security risk, or non‑payment. Upon termination: (i) we will delete or return Customer Content and Service Output per the DPA and Privacy Notice; (ii) your right to use the Service ends.

14. Warranties & Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND OUTPUT ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT).

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. EXCEPT FOR PAYMENT OBLIGATIONS OR LIABILITY THAT CANNOT BE LIMITED BY LAW, EACH PARTY’S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS PAID OR PAYABLE BY YOU TO SCRIBIE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

16. Indemnity

You will indemnify and hold Scribie harmless against third‑party claims arising from your Customer Content or your use of the Service in violation of these Terms or law.

17. Export & Sanctions

You will comply with applicable export control and sanctions laws.

18. Governing Law; Disputes

Governing law and dispute resolution may depend on your jurisdiction and any applicable order or agreement. If consumer laws apply, you may have additional rights.

19. Notices

We may notify you via the Service or the email tied to your account. For legal notices, please contact us via /contact.

20. Order of Precedence

If there’s a conflict between these Terms and a signed order, MSA, or DPA, the signed document controls; otherwise, these Terms control.
